Evaluation terms

These Evaluation Terms (version 2026-10-14) govern access to a workspace Humfrid prepares for an organization's evaluation. They are shown and accepted in the application. Once the organization purchases a subscription, the Terms of Service govern instead.

1. Limited Evaluation License & Proprietary Platform Rights

Avery Intelligence, Inc. d/b/a Humfrid ("Humfrid", "we", "us") grants the evaluating recipient, organization, or authorized user ("Evaluator", "you") a non-exclusive, non-transferable, revocable, limited license to access and review this private strategic workspace strictly for internal evaluation of Humfrid's strategic intelligence capabilities. Evaluator shall not, directly or indirectly: (a) reverse engineer, decompile, extract source prompts, or inspect underlying reasoning weights or vector embeddings; (b) scrape, export, or systematically mirror platform strategy trees or conflict graphs; or (c) use the workspace output to develop, benchmark, or train any competing artificial intelligence model, software, or advisory service.

2. Workspace Tier Classifications & Operational Scope

Workspaces are provisioned under one of two operational tiers:

(a) Free / Autonomous Outside-In Tier: Complimentary strategic previews synthesized autonomously by artificial intelligence research agents exclusively from publicly available external signals (including SEC/regulatory filings, press releases, public pricing grids, published support documentation, and third-party customer reviews). Free Tier workspaces have NOT been manually verified, audited, or reviewed by Humfrid human operators or product leaders. They represent an unreviewed outside-in prototype intended to demonstrate platform mechanics. Humfrid offers dedicated 1-week strategic sprints to perform comprehensive, verified analyses utilizing Evaluator's actual internal telemetry, support tickets, billing churn logs, and product data with hands-on senior human leadership.

(b) Premium / Curated Tier: Strategic blueprints prepared with senior human product leadership oversight. Premium workspaces incorporate both verified public intelligence and confidential materials provided directly by Evaluator (including pitch decks, executive memos, internal metrics, and roadmap artifacts). Premium Tier findings represent curated strategic hypotheses verified by experienced product operators.

3. Client-Provided Confidential Materials & Pitch Deck Protection

Where Evaluator provides pitch decks, business plans, internal presentations, product logs, or other non-public confidential materials ("Client Materials") to Humfrid:

(a) Confidentiality Obligation: Humfrid holds all Client Materials in strict confidence, applying standard commercial security measures, and restricts access to personnel and systems that need it to provide the Services.

(b) No Model Training: Client Materials and work derived from them are shared only with the sub-processors listed at humfrid.com/subprocessors, logically isolated to Evaluator's workspace, and never used to train AI models.

(c) Evaluator Retains Ownership: Evaluator retains sole ownership of all intellectual property rights in Client Materials submitted.

4. Machine-Assisted Inferences & Editorial Opinions

All strategic tension models, operational trade-offs, conflict graphs, rival comparisons, take-rate sensitivity estimates, and opportunity theses presented in this workspace constitute machine-assisted analytical hypotheses and protected editorial opinions. Statements regarding operational drag, churn drivers, customer friction, or organizational misalignment represent evaluative perspectives derived from algorithmic synthesis and do not constitute assertions of unassailable objective fact or disparagement of any enterprise.

5. Enforceable Anti-Reliance & No Fiduciary or Investment Advice

HUMFRID IS NOT A REGISTERED BROKER-DEALER, REGISTERED INVESTMENT ADVISOR (RIA), CERTIFIED PUBLIC ACCOUNTANT, OR LICENSED LEGAL COUNSEL.

Evaluator acknowledges and agrees that: (a) all financial models, take-rate extrapolations, addressable market sizing, and projected ROI figures are forward-looking scenarios intended solely for internal strategic discussion; (b) Evaluator shall NOT rely upon any workspace content, artifact, or metric as financial, investment, accounting, tax, or legal advice, nor as a basis for any capital allocation, merger, acquisition, divestiture, or securities transaction; and (c) Evaluator assumes full responsibility for conducting independent financial, commercial, and legal due diligence before making any commercial decisions.

6. Nominative Fair Use of Third-Party Trademarks

References to specific companies, competitor platforms, software vendors, investors, or commercial brands are made strictly for descriptive, comparative, and nominative identification purposes. All trademarks, service marks, and trade names remain the property of their respective owners. Humfrid is not affiliated with, sponsored by, or endorsed by any referenced third-party entities unless explicitly stated in writing.

7. "AS IS" Warranty Disclaimer & Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM, WORKSPACES, STRATEGY TREES, FORECASTS, AND ARTIFACTS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, OR NON-INFRINGEMENT.

IN NO EVENT SHALL AVERY INTELLIGENCE, INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY. HUMFRID'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THIS EVALUATION WORKSPACE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00 USD).

8. Governing Law & Binding Arbitration

This Evaluation Agreement and any disputes arising out of or related to this workspace shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles. Any dispute, claim, or controversy shall be resolved exclusively through confidential binding arbitration administered by JAMS in San Francisco, California, before a single arbitrator in accordance with JAMS Streamlined Arbitration Rules and Procedures. This does not apply to disputes under the EU Standard Contractual Clauses or to claims brought by data subjects, which are resolved as the Humfrid Data Processing Addendum provides.
